Please read these Terms of Service ("Terms") carefully before using the website operated by Webstrail LLP ("us", "we", or "our"), a software development company. Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. By accessing or using the Service, you agree to be bound by them. 1. Intellectual property

The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Webstrail LLP and its licensors, protected by copyright, trademark, and other laws. Our trademarks may not be used without prior written consent.

  • Custom software: any software or intellectual property developed specifically for a client under a separate contract (e.g., a Statement of Work or Master Services Agreement) is governed by that contract, which supersedes these general terms regarding ownership and licensing of that work product.

Third-party trademarks. All product names, logos, brands, and other trademarks or service marks referenced on this Service — including, without limitation, those of practice-management systems, clearinghouses, payment processors, cloud platforms, and software libraries — are the property of their respective owners. Their appearance is for identification and descriptive purposes only, to indicate systems and technologies Webstrail integrates with or builds on. Reference to them does not constitute or imply any affiliation, partnership, sponsorship, certification, or endorsement by or with their owners unless expressly stated. All such marks are used under the doctrine of nominative fair use, and all rights in those marks remain with their respective owners.

2. Accounts

If the Service requires you to create an account, you guarantee you are over 18 and that the information you provide is accurate and current. You are responsible for safeguarding your password and for all activity under your account, and must notify us immediately of any breach or unauthorized use.

3. Links to other websites

The Service may contain links to third-party sites or services not owned or controlled by Webstrail LLP. We have no control over, and assume no responsibility for, the content or practices of any third-party sites. We advise you to review the terms and privacy policies of any third-party sites you visit.

4. Termination

We may terminate or suspend your access immediately, without prior notice or liability, for any reason, including a breach of these Terms. Upon termination, your right to use the Service ceases.

You agree to defend, indemnify, and hold harmless Webstrail LLP and its licensors and personnel from any claims, damages, obligations, losses, liabilities, and expenses arising from your use of the Service, a breach of these Terms, or content you post.

6. Limitation of liability

In no event shall Webstrail LLP or its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, or goodwill, arising from your access to or use of (or inability to use) the Service.

7. Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or free of harmful components.

8. Governing law

These Terms are governed by the applicable laws of our jurisdiction of operation, without regard to conflict-of-law provisions. Our failure to enforce any right or provision is not a waiver of it. If any provision is held invalid, the remaining provisions remain in effect.

9. Changes to these Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice before new terms take effect. By continuing to use the Service after revisions become effective, you agree to be bound by the revised terms.
